AGENT TERMS & CONDITIONS

1. Introduction
These Agent Terms & Conditions ("Agreement") govern the relationship between Bejoy Life Sdn Bhd ("Company") and the authorized agents ("Agent"). By signing up as an agent, you agree to comply with these terms.
2. Agent Responsibilities
2.1. The Agent shall promote and sell the Company’s products/services ethically and professionally.
2.2. The Agent shall not misrepresent or make false claims regarding the Company’s products/services.
2.3. The Agent shall adhere to the Company's pricing, marketing, and branding guidelines.
2.4. The Agent shall be responsible for maintaining customer relationships and providing necessary support.
3. Commission & Payment
3.1. Agents will receive commissions based on sales generated as per the agreed commission structure.
3.2. Commissions will be paid on a [monthly/quarterly] basis after verifying the sales and receipt of payments from customers.
3.3. The Company reserves the right to adjust commission rates with prior notice.
3.4. If an order is canceled or refunded, the corresponding commission will be deducted from future payments.
4. Confidentiality & Non-Disclosure
4.1. The Agent shall not disclose any confidential information related to the Company, its clients, or business operations.
4.2. The Agent shall not use proprietary information for personal benefit or share it with competitors.
5. Termination
5.1. The Company reserves the right to terminate the Agent’s contract if:
The Agent engages in unethical or fraudulent practices.
The Agent fails to meet performance expectations.
The Agent violates any terms outlined in this Agreement.
5.2. Upon termination, the Agent must cease using any Company branding, marketing materials, or customer contacts obtained during the engagement.
6. Compliance & Legal Obligations
6.1. The Agent must comply with all relevant laws, including consumer protection, data privacy, and business ethics.
6.2. The Agent is responsible for any personal tax obligations arising from commission earnings.
7. Limitation of Liability
7.1. The Company shall not be held liable for any claims, damages, or losses arising from the Agent’s independent actions.
7.2. The Agent acknowledges that they are operating as an independent contractor and not as an employee of the Company.
8. Amendments
8.1. The Company reserves the right to modify these Terms & Conditions at any time with prior notice.
9. Governing Law
9.1. This Agreement shall be governed by the laws of Malaysia. Any disputes arising from this Agreement shall be settled in the jurisdiction of Federal Law of Malaysia.
